Usage

Access to the Vertexium Digital platform is granted for the purpose of evaluating our services, reviewing operational analysis, submitting inquiries, and initiating or managing an engagement. Use of this platform for unauthorized competitive intelligence, systematic content scraping, automated access without written permission, or any activity that degrades platform performance is prohibited.

All platform content — including insights articles, frameworks, methodology documentation, case study summaries, and system documentation — is the intellectual property of Vertexium Digital. Reproduction, republication, or derivative use of this content without explicit written authorization is not permitted.

Intellectual Property

All platform content, visual design systems, code architecture, operational frameworks, and proprietary methodologies developed by Vertexium Digital are and remain the exclusive intellectual property of Vertexium Digital, regardless of whether individual elements are marked with copyright notices.

Client deliverables — including application code, design systems, content architecture, and operational platforms developed under an engagement agreement — transfer to full client ownership upon receipt of final payment as specified in the governing statement of work. Vertexium Digital retains no license to use client deliverables for its own commercial purposes following ownership transfer.

Service Limitations

Services rendered by Vertexium Digital are scoped and governed by individual engagement agreements, statements of work, or service proposals. These terms of use do not constitute a service agreement and do not create any obligation for Vertexium Digital to provide services to any party.

Vertexium Digital does not guarantee specific business outcomes from platform use or service engagement beyond those explicitly defined in a signed statement of work. Performance targets stated in case studies, platform copy, and marketing materials reflect historical client results and are not warranties of future performance.

Platform Operation

Vertexium Digital operates this marketing platform on a commercially reasonable basis. We do not guarantee uninterrupted availability, and we reserve the right to modify, suspend, or discontinue any portion of the platform without advance notice for the purposes of maintenance, security, or operational improvement.

Platform content — including pricing information, service descriptions, and case study data — is subject to change without notice. Vertexium Digital is not liable for decisions made based on platform content that has since been updated or removed.

Consultation Expectations

Strategy calls, website audits, and consultation sessions offered through this platform are advisory in nature. They do not constitute a binding proposal, contract, or commitment to deliver services. Engagement terms are only established through a signed statement of work or formal agreement.

Discussions conducted during consultation sessions — including technical recommendations, strategic assessments, and pricing discussions — are confidential to the participating parties and do not constitute a public statement or commitment by Vertexium Digital.

Liability

To the maximum extent permitted by applicable law, Vertexium Digital shall not be liable for indirect, incidental, consequential, special, or exemplary damages arising from use of this platform, regardless of whether Vertexium Digital has been advised of the possibility of such damages.

Vertexium Digital's total liability to any party for claims arising from use of this platform shall not exceed the amount paid by that party to Vertexium Digital in the twelve months preceding the claim, or one hundred dollars (USD $100), whichever is greater. This limitation applies to all causes of action in the aggregate, including breach of contract, tort, and statutory claims.
